Document Management

Document Review Checklist

A structured checklist for reviewing any business document before you sign, submit, or approve it. Missing one clause can create obligations that last for years.

Why document review matters

Every signed document creates legally binding obligations. Contracts, agreements, and formal submissions often contain clauses that are easy to overlook but difficult to undo — automatic renewals that lock you in for another year, indemnification terms that shift liability to you, or payment schedules buried in exhibit documents.

A consistent review process helps you catch these issues before they become problems. It also creates a defensible record that you exercised reasonable care before committing your organization.

Pre-signature checklist

1. Verify all parties

  • Confirm legal names match registered business names
  • Verify signatory authority — is this person authorized to bind the organization?
  • Check that addresses and contact details are current and accurate
  • Identify any third parties named in the agreement and their obligations

2. Verify all dates

  • Confirm effective date is correct
  • Check expiration or termination dates
  • Identify notice periods for renewal, cancellation, or changes
  • Look for any milestone or deadline dates embedded in the agreement

3. Verify payment obligations

  • Confirm total amount, currency, and payment schedule
  • Identify late fees, interest rates, or penalties for missed payments
  • Check whether payment triggers are tied to deliverables or fixed dates
  • Look for price escalation clauses that allow future increases

4. Review renewal clauses

  • Check for automatic renewal provisions
  • Identify the opt-out window — how far in advance must you cancel?
  • Confirm whether renewal terms match original terms or may change
  • Set a calendar reminder before the opt-out deadline

5. Review termination language

  • Identify grounds for termination (for cause vs. for convenience)
  • Check required notice periods for termination
  • Understand post-termination obligations (data return, continued payments, non-compete)
  • Identify any termination penalties or early exit fees

6. Confirm signatures

  • All required signatories are identified
  • Signature blocks match named parties
  • Initials or countersignatures on any amended pages
  • Exhibits or attachments are included and referenced correctly

7. Preserve original copies

  • Store a fully signed copy in a secure, named location
  • Keep all exhibits and attachments alongside the main document
  • Record the document in your contracts log or tracking system
  • Set renewal or expiration reminders for ongoing agreements
