What AI document intelligence does

AI document intelligence applies large language models and machine learning techniques to extract structured information from unstructured document text. Instead of reading a 40-page contract yourself and manually identifying key provisions, an AI system can process the full document and return organized, labeled outputs in seconds. This does not replace expert judgment — it accelerates the initial review process and surfaces information that might otherwise be missed in a time-pressured review.

AI extraction

Text extraction converts document content — whether natively digital or OCR-processed from a scan — into a structured input that the AI model can analyze. Quality of extraction depends on document clarity, formatting consistency, and the absence of complex layouts that break text flow (such as multi-column tables or text embedded in images).

AI models process the extracted text and generate outputs based on patterns learned from large training datasets. The model is not applying rules in the way traditional software does — it is predicting the most contextually relevant output based on the document content and the questions it has been trained to answer.

Entity detection

Named entity recognition (NER) identifies and classifies specific types of information within document text: people (signatories, representatives), organizations (contracting parties, counterparties), locations (jurisdictions, service addresses), dates (effective dates, expiration dates, notice deadlines), monetary values (contract amounts, penalties, fees), and legal references (governing law, exhibit references).

Extracted entities provide a compact summary of who is involved, when things happen, and what amounts are at stake — without requiring you to read the entire document to find this information. Entity extraction accuracy is highest for clearly defined, consistently formatted information and lower for values that are described rather than stated (for example, “fees as set forth in Exhibit A”).

Obligation detection

Obligation detection identifies statements in a document that impose a duty on a party to do or refrain from doing something. Key indicators include modal verbs (“shall,” “must,” “will,” “agrees to”) and negative obligations (“shall not,” “must not,” “is prohibited from”). AI models trained on contract language can identify these statements and classify which party bears each obligation.

Understanding the full set of obligations in a contract helps you plan for compliance, identify conflicts with other agreements, and flag provisions that require operational changes. Obligation extraction is particularly valuable for long, complex documents where manual review is likely to miss provisions buried in boilerplate sections.

Risk scoring

Risk scoring applies a structured assessment to identify document provisions that commonly create legal, financial, or operational risk. Risk factors include asymmetric indemnification, broad liability exposure, unlimited or poorly defined scope, aggressive payment acceleration, unilateral modification rights, and jurisdiction clauses that disadvantage one party.

AI-generated risk scores are based on patterns in the document text and general principles of document analysis. They are a starting point for focused review, not a definitive legal assessment. A low risk score does not mean a document is safe to sign without qualified review — it means the document's text does not contain obvious high-risk indicators based on the model's training.

Date extraction

Contract documents often contain dozens of dates: effective dates, expiration dates, notice deadlines, payment due dates, option exercise windows, milestone dates, and renewal opt-out deadlines. AI date extraction identifies, normalizes, and labels these dates so you can review them in one place rather than scanning through the entire document. Extracted dates should always be verified against the source document before being relied upon for planning purposes.

Human review recommendations

AI document intelligence is most valuable as a first-pass review tool that prepares a human reviewer to work more efficiently. Recommended workflow: use AI analysis to generate a summary of parties, key dates, obligations, and risk areas; then direct human review to the specific provisions flagged as high-risk or unclear.

For significant agreements — contracts with material financial exposure, employment-related documents, regulated instruments, or documents affecting real property — always involve qualified legal counsel regardless of what an AI analysis indicates. AI tools accelerate review; they do not substitute for professional judgment on documents that carry meaningful consequences.

Limitations of AI

  • AI models can make errors. Outputs should be treated as drafts for human review, not authoritative findings.
  • Accuracy depends on document quality. Poorly scanned, handwritten, or damaged documents produce less reliable outputs.
  • AI does not understand context outside the document. It cannot assess industry norms, jurisdiction-specific law, or your organization's particular risk tolerance.
  • AI is not a lawyer or financial advisor. Nothing in an AI-generated document analysis constitutes legal, financial, tax, or professional advice.
  • Hallucination risk: AI models may sometimes state information that is plausible but not present in the document. Always verify critical findings against the source text.
  • AI analysis is most reliable for structured document types (standard commercial contracts, loan agreements, leases). Custom or unusual document formats may produce less accurate results.
